These Terms of Service (“Terms”) govern the relationship between BlackWulff, LLC (“BlackWulff,” “we,” “our,” or “us”) and any client or company (“Client,” “you,” or “your”) engaging with our recruitment and HR services. By accessing or using our services, you agree to these Terms of Service.
BlackWulff, LLC is a Wyoming-registered company located at:

Our Services
BlackWulff, LLC provides three core services:
Talent Placement
We source, evaluate, and place qualified talent into your organization. Talent Placement is charged as a one-time flat fee, paid only after the selected talent is officially onboarded. This service includes a 90-day perfect match guarantee and free replacement within the guarantee period.
Managed Global HR
We manage talent end-to-end, including recruitment, onboarding, HR administration, performance monitoring, and ongoing support. This service is billed as a monthly management fee per talent, ranging from $750 to $2,000+.Clients under this service may request a buy-out of talent. Buy-out terms and pricing will be outlined separately in the service agreement.
Talent on Demand
We provide skilled individuals or specialized agencies to complete short-term or project-based work. Pricing varies based on the scope of the project.
Payment Terms
Talent Placement
- One-time flat fee.
- Fee is due when the talent is officially onboarded.
- Free replacement within 90 days.
- No refunds after successful onboarding.
- Additional guarantees or extensions may be agreed upon in writing.
Managed Global HR
- Monthly management fee per talent.
- Payment is due in advance for each monthly cycle.
- Late payments may result in suspension of services.
- Buy-out requests will incur agreed-upon fees.
Talent on Demand
- Pricing is custom and dependent on the scope of work.
- Payments may be milestone-based, hourly, or fixed, depending on the project.
- Detailed terms will be provided in the project agreement.
Client Responsibilities
Clients engaging with Black Wulff, LLC agree to the following:
- Provide accurate, complete, and timely job requirements.
- Ensure candidate information is used solely for legitimate hiring purposes.
- Not bypass or circumvent Black Wulff by hiring or contracting candidates introduced by us outside of our process.
- Comply with all labor, employment, and data protection regulations when working with talent.
- Provide a safe, fair, and non-discriminatory working environment for all talent.
- Inform Black Wulff immediately regarding concerns, misconduct, or issues related to any talent we place or manage.
- For Managed Global HR clients: – Provide operational access, systems, or tools necessary for talent to perform their work. – Respect all HR recommendations and escalation procedures. – Comply with country-specific fair employment standards. – Honor buy-out terms if choosing to convert Black Wulff-managed talent to direct employment.
Candidate Responsibilities
Candidates working with Black Wulff, LLC must:
- Provide accurate and truthful information throughout the recruitment process.
- Maintain confidentiality regarding client operations, systems, and internal information.
- Use client tools, data, and assets professionally and responsibly.
- Avoid direct negotiation with clients without prior authorization from Black Wulff.
- Follow local labor laws, professional standards, and client policies while engaged on a project or role.
Confidentiality and Non-Disclosure
Both parties agree to maintain strict confidentiality regarding:
- Client data, strategies, and internal information
- Candidate profiles, assessments, and employment details
- Pricing, compensation, and operational structures
- Internal processes, methodologies, and frameworks unique to Black Wulff
Confidential information may not be shared with any third party unless required by law or mutually agreed upon in writing.
Limitation of Liability
Black Wulff, LLC is not liable for:
- The performance, conduct, or outcomes of talent after onboarding
- Business losses, damages, or disruptions arising from hiring decisions
- Any indirect, incidental, or consequential damages
To the maximum extent permitted by law, Black Wulff’s total liability under any agreement is limited to the total fees paid by the Client for the specific service in question.
Indemnification
Clients agree to indemnify and hold Black Wulff, LLC harmless from claims, damages, liabilities, or expenses arising from:
- Client misuse of candidate information
- Violations of employment or labor laws
- Workplace conditions, culture, or treatment of talent
- Operations, systems, or decisions internal to the Client’s organization
Dispute Resolution
All disputes shall be resolved through:
- Good-faith negotiation between both parties
- If unresolved, mandatory arbitration will be conducted in the State of Wyoming
- If further legal action is required, jurisdiction will lie exclusively in Wyoming courts
Termination
Either party may terminate the engagement with a two-week written notice.
Black Wulff may immediately suspend or terminate services if:
- Payments are not made
- Client breaches confidentiality
- Misuse or abuse of talent occurs
- Client attempts to circumvent or bypass our services
Termination does not waive fees owed for services already rendered.
Changes to These Terms
BlackWulff, LLC may update these Terms periodically. Continued use of our services constitutes acceptance of any modifications.
